Terms and Conditions of Nuvoton Member

The website member Service (hereinafter referred to as the “Service”) is established and provided by Nuvoton Technology Corporation (hereinafter referred to as the “Company”). All users of the Service (hereinafter referred to as “Members”) shall carefully read the following terms and conditions (hereinafter referred to as the “Terms”). These Terms constitute a legally binding agreement between the Member and the Company. Upon completion of registration or logging in to use the Service, the Member shall be deemed to have read, understood, and agreed to all contents of these Terms, and agrees to be bound by these Terms to the maximum extent permitted by law.

I. Membership Agreement

  1. In addition to these Terms, all rules, guidelines, procedures, policies, and Service descriptions that have been published or may be published by the Company from time to time constitute an integral part of these Terms. Members agree to comply with all such published and future rules, guidelines, procedures, policies, and Service descriptions.

  2. The Company may amend these Terms at any time within the scope permitted by law. Members are advised to review such amendments from time to time, including amendments to any published or future rules, guidelines, procedures, policies, and Service descriptions. Unless otherwise specified, amended terms shall take effect upon announcement. Continued use of the Service after the effective date constitutes acceptance of the amended Terms. If a Member does not agree to the amendments, the Member shall cease using the Service, and the Company shall bear no liability for compensation or indemnification as a result thereof.

  3. Electronic records exchanged between the Company and Members may serve as expressions of intent. Where such electronic records can be fully displayed and retrieved for verification, they shall have the same legal effect as written documents.

II. Membership and Registration

  1. Members must be natural persons with full legal capacity, or legally registered legal entities or organizations. If the Member is a minor, the Member’s legal representative must read, understand, and agree to these Terms and any amendments before the Member may use or continue using the Service. Use or continued use of the Service by a minor shall be deemed as consent by the legal representative.

  2. To become a Member, the applicant must complete the registration process, including providing personal information and submitting any documents or information required during registration. To access the full functionality of the Service, the Member must also complete identity verification in accordance with the methods specified by the Service.

  3. Members warrant that all information provided is accurate, current, and complete, and shall not register under the name of any third party. Members shall promptly update their information if any changes occur. If a Member fails to provide information, provides incorrect or false information, or fails to update information in a timely manner, the Company may, without prior notice, refuse or suspend all or part of the Service or terminate the Member’s membership.

  4. Members are responsible for safeguarding their account and password and shall not disclose them to any third party. All actions performed after logging in with a Member’s account and password shall be presumed to be actions of the account holder. Members shall notify the Company immediately if they discover or suspect unauthorized use of their account or password.

  5. The Company may limit the number of accounts that a single natural person or legal entity may register and reserves the final right to approve or reject any membership registration.

  6. To the extent permitted by law, the Company may access a Member’s personal data, including transaction records and other lawfully collected data, and may disclose such data to government authorities or third parties who provide reasonable evidence of rights infringement, and may suspend all or part of the Service where necessary, under the following circumstances:

    • (1) As required by laws, regulations, court orders, or government authorities;

    • (2) For the enforcement of these Terms, or where a Member violates or is suspected of violating these Terms or infringing third-party rights;

    • (3) To protect system security or the lawful interests of the operator;

    • (4) To protect the lawful interests of other users or third parties;

    • (5) To ensure proper operation of the Service.

III. Online Transaction Services

  1. Prior to purchase, Members shall carefully review and assess product or Service descriptions, delivery methods, and conditions. Upon confirmation of transaction by the Company, a sales contract shall be formed between the Company and the Member, and each party shall bear its respective obligations to pay the price and deliver the products or services, except where Members are entitled to statutory rights of rescission, cancellation, or other legal rights.

  2. The Company may request Members to provide explanations or documentation regarding any doubts or disputes related to registration data or transactions.

  3. All taxes, fees, and costs arising from transactions conducted through this website shall be borne by the respective parties in accordance with applicable laws and regulations.

  4. Members agree that the Company may send messages regarding services or marketing activities; Members may terminate this consent at any time.

IV. Code of Conduct

  1. Members shall log in using their own accounts and passwords and shall not transfer or authorize third parties to use their accounts.

  2. Members may report other Members’ violations of laws, these Terms, or relevant conduct rules to the Company.

  3. Members shall not engage in unfair competition (e.g., placing false orders), disrupt the normal operation of the Service (e.g., hacking), or send unsolicited advertising emails.

  4. Members shall not engage in transaction manipulation, fictitious transactions, malicious bid abandonment, interference with others’ transactions, or fraudulent activities. All conduct and statements by Members on this website shall comply with applicable laws and these Terms.

  5. Membership does not grant any express or implied license to the Company’s intellectual property rights. Without the prior written consent of the Company, Members shall not use, reproduce, or distribute any works, data, trademarks, or logos on this website in any form.

  6. Products, services, or information obtained through the Service (“Transaction Items”) may be subject to export control laws of the United States, Taiwan, or other countries. Members agree not to use Transaction Items for the design, development, or manufacture of nuclear, missile, chemical, or biological weapons, and not to export, re-export, or transfer Transaction Items to prohibited countries or nationals without government approval. Members further agree to comply with all applicable export control laws of the United States and Taiwan.

V. Suspension and Reinstatement Mechanism

  1. To maintain the operational order and a fair trading environment of this website, the Company has established a Suspension and Reinstatement Mechanism to provide Members who inadvertently violate relevant laws, contracts, or these Terms with an opportunity to rectify such violations.

  2. In the event that a Member violates relevant laws, contracts, or these Terms, the Company will issue a warning notification specifying the cause; Members are advised to avoid recurrence. Should a Member commit consecutive violations and fail to improve after a warning, the Company may impose a suspension (Initial Suspension). Once suspended, the website will issue a notification informing the Member of the suspension period. Upon the expiration of the suspension period, account privileges will be automatically reinstated. However, in cases of major violations where no improvement is made after a warning, the Company reserves the right to deny reinstatement (Permanent Suspension) and may assist law enforcement agencies in investigations by providing relevant information (including personal data). In instances of severe misconduct, the Company may, without prior notice, immediately suspend or terminate all or part of the Member’s account access. Such suspension or termination shall not affect the rights the Company is entitled to assert against the Member under the law, and the Member shall not be entitled to claim any indemnity or compensation from the Company as a result.

  3. The "major violations" referred to in the preceding paragraph include the following behaviors:

    • (1) Fraudulent activities or actions affecting transaction security.

    • (2) Delay in payment or non-payment of fees/prices.

    • (3) Serious infringement of the intellectual property rights of others.

  4. Regarding an Initial Suspension, the Company reserves the right to suspend the Member for a maximum of seven (7) days, depending on the severity of the circumstances. In the event of a Permanent Suspension, the Member's account will be permanently deactivated. As suspension may have a significant impact on Members’ rights and interests, Members are advised to avoid any violations.

VI. System Maintenance and Service Interruption

  1.  The Company shall make reasonable efforts to maintain the normal operation of the Service system so that Member transactions may proceed smoothly. However, the Service is provided on an “as-is” basis, and the Company makes no express or implied representations or warranties with respect to any of the following:

  1. That the Service will meet the specific requirements of the Member;

  2. That the system and software will operate continuously without interruption;

  3. That data will be transmitted, processed, stored, and backed up in a timely, accurate, and error-free manner; and

  4. That errors in the system, software, or data will be promptly discovered and corrected.

  1. If the Service is suspended or interrupted due to routine maintenance, relocation, replacement, upgrade, or repair of the Service system, the Company shall notify Members in advance of such suspension or interruption by email or public announcement.

VII. Limitation of Liability

  1. The Company shall not be liable for any Service suspensions or interruptions, inability to conduct transactions, loss or damage of data, or any other direct or indirect damages arising from the following circumstances:

  1. Routine maintenance, relocation, replacement, upgrading, or repair of the Service systems;

  2. Loss or damage of data resulting from backup errors or failures;

  3. Actions of third parties, circumstances beyond the Company's full control, or matters not attributable to the Company;

  4. Natural disasters or other events of force majeure;

  5. The Service quality and content of all third-party services designated by this Service are the sole responsibility of said third parties. Therefore, when using this Service, verification may fail due to the third party's own system issues, network connection quality, or other irresistible factors. If the basic information provided by the Member is incorrect, resulting in the Company’s inability to promptly notify the Member of emergency handling procedures for abnormal conditions, the Company shall bear no liability for any damages arising therefrom.

  1. To the maximum extent permitted by law, the Company shall not be liable for any damages arising from this Service; however, this limitation shall not apply to damages caused by the Company’s willful misconduct or gross negligence.

VIII. Governing Law and Jurisdiction

  1. These Terms and related webpages shall be governed by the laws of Taiwan, excluding the “Act Governing the Choice of Law in Civil Matters Involving Foreign Elements”.

  2. Any disputes arising from the Service or these Terms shall be subject to the exclusive jurisdiction of the Taiwan Hsinchu District Court as the court of first instance, unless otherwise required by mandatory law.
